Terms of Service
Terms of Service
Local Recommend
These Terms of Service (“Terms”) govern your access to and use of the networking and referral services provided by Local Recommend (“we”, “our”, “us”), including our website, software, mobile applications, events, and any related services (collectively, the “Services”).
By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
1. Definitions
“User” means any person who accesses or uses the Services in any way, whether or not they have created an account and whether or not they hold a paid subscription. Every Member is also a User.
“Member” means a User who has registered an account with Local Recommend, whether on a free or paid basis.
“Services” has the meaning given in the introductory paragraph above.
2. Eligibility
To use our Services, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. You also agree to provide accurate and complete information during registration and to keep your account details up to date.
3. User Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree not to share your account with others or impersonate any person or organization. We reserve the right to suspend or terminate accounts that are used in violation of these Terms or applicable law.
4. Use of Services
The Services are intended solely for professional networking, business referrals, and engagement within our approved User community. You agree not to use the Services for any unlawful, abusive, harassing, or fraudulent purpose, or in a way that infringes on the rights of others or disrupts the platform.
You may not scrape, copy, resell, or misuse data found within the platform, nor may you attempt to gain unauthorized access to our systems or networks.
5. Content and Conduct
You are solely responsible for the content you post, upload, or share through the Services, including your profile, referrals, testimonials, messages, or event contributions. You must ensure that your content is truthful, professional, and does not violate any applicable law or third-party rights.
We reserve the right to remove or restrict any content that we believe, at our sole discretion, violates these Terms or is otherwise inappropriate.
6. Intellectual Property
All materials, branding, software, and content provided by us through the Services—including logos, trademarks, databases, and designs—are the property of Local Recommend or its licensors and are protected by intellectual property laws.
You retain ownership of content you create and share through the platform, but you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content as part of providing the Services.
7. Privacy
Our collection and use of personal data are governed by our Privacy Policy, which forms part of these Terms. By using the Services, you consent to the collection, use, and disclosure of your personal information in accordance with the Privacy Policy, including data transfers to Australia or other jurisdictions where we operate.
8. Marketing and Communications
By registering, you consent to receive marketing, informational, and operational communications from us. You may opt out of marketing communications at any time by using the unsubscribe link in emails or by adjusting your preferences in your account settings.
9. Profile Deletion and Termination
You may delete your account at any time through your account settings. Upon deletion, your profile and most associated data will be removed from the platform. Some data may be retained as necessary for legal or administrative reasons.
We may suspend or terminate your account if you breach these Terms or misuse the Services. We may also modify or discontinue the Services at any time, with or without notice.
10. Refunds and Membership Credit
Except as required by the Australian Consumer Law or as expressly stated in this clause, membership fees are non-refundable, including where you cancel your membership, leave a group, or your account is suspended or terminated for breach of these Terms. This applies regardless of how much of your membership period remains unused.
Certificates of credit are only available to members of our in-person groups. Members whose membership relates solely to online platform access are not eligible for a certificate of credit under this clause.
Instead of a cash refund, we may, at our discretion, issue an eligible member with a non-transferable certificate of credit in the name of the person or organisation that paid the membership fee. Where the fee was paid by a company or other organisation, the certificate may be used by a replacement individual nominated by that organisation. A certificate of credit has no cash value, cannot be sold, gifted, or transferred to any other person or entity, and is valid for 12 months from the date of issue, after which it expires and is forfeited.
If, at the time it is used, the remaining value of a certificate of credit represents less than 6 months of membership, a full 12-month renewal payment is required to top up the credit before it can be considered towards a new membership.
All applicants — whether new, returning, or using a certificate of credit — must complete a member interview as part of our standard application process. Admission is assessed against an applicants suitability of fit within the relevant group, and is at our discretion. We do not discriminate against applicants on any unlawful ground. An application may be rejected on legitimate, non-discriminatory grounds regardless of whether a certificate of credit is being applied, and rejection does not entitle the applicant to a cash refund of any credit applied; any unused credit remains available, subject to its expiry, for a future application.
Nothing in this clause limits any right you may have to a refund, repair, or replacement where we fail to comply with a consumer guarantee under the Australian Consumer Law that cannot lawfully be excluded.
11. Role of Local Recommend; No Liability for User Dealings
Local Recommend provides a platform to facilitate networking, introductions, and referrals between Users. We are not a party to, do not broker, and take no responsibility for any agreement, transaction, engagement, or work arrangement entered into between Users, whether arising from a referral, introduction, or any other interaction facilitated through the Services.
We do not vet, verify, or endorse any User’s qualifications, licensing, insurance, certifications, or the quality, safety, or legality of any goods or services they provide. Any referral, recommendation, testimonial, or introduction made through the Services is provided by the User concerned and does not constitute a representation, warranty, or endorsement by Local Recommend.
To the maximum extent permitted by law, Local Recommend excludes all liability for any loss, damage, cost, or expense (including but not limited to financial loss, loss of business, property damage, or personal injury) arising from or in connection with any referral passed, received, or introduction made between Users, whether or not Local Recommend was aware of the interaction.
12. Limitation of Liability
To the extent permitted by law, Local Recommend and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Services. This includes, without limitation, damages for loss of profits, goodwill, data, or other intangible losses.
Without limiting the foregoing, we are not liable for any loss or damage arising from referrals, introductions, or business dealings between Users, or from any acts or omissions of Users, regardless of whether such interactions originated on or through the Services.
Our maximum aggregate liability to you for any and all claims arising out of or relating to the Services, including any referral or introduction made or received through the Services, is limited to the greater of: (a) AUD $500; or (b) the total fees (if any) you paid us for use of the Services in the 12 months preceding the event giving rise to the claim.
13. Disclaimers
We provide the Services on an “as is” and “as available” basis. We do not guarantee that the Services will be uninterrupted, error-free, or secure. We do not endorse, verify, or guarantee the accuracy of user-generated content, and you engage with other Users at your own discretion and risk.
Referrals and introductions facilitated through the Services are provided for networking purposes only. We make no representation or warranty as to the outcome, suitability, or value of any referral or introduction, and you are solely responsible for evaluating any User you engage with.
14. User Indemnity
You agree to indemnify and hold harmless Local Recommend, its officers, employees, and affiliates from and against any claims, losses, liabilities, damages, and expenses (including reasonable legal costs) arising from or in connection with:
any referral you give or receive;
any introduction you make or accept;
any transaction, engagement, or dispute with another User; or
your breach of these Terms.
15. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you under the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted, or modified. To the extent permitted by law, our liability for a failure to comply with a consumer guarantee is limited, at our option, to resupplying the Services or paying the cost of having the Services resupplied.
16. Changes to the Terms
We may modify these Terms at any time to reflect changes to our Services, applicable laws, or business practices. When we make material changes, we will notify you via email or within the platform. Continued use of the Services after such changes constitutes your acceptance of the revised Terms.
17. Governing Law
These Terms are governed by the laws of Queensland, Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Queensland.
